These Terms of Service ("Terms") govern your use of louisianaregisteredagent.co (the "Site") and the registered agent services (the "Services") provided by Louisiana Registered Agent.co ("we," "us," or "our"). By accessing the Site or enrolling in Services, you agree to be bound by these Terms.

1. Scope of Services

Louisiana Registered Agent.co provides registered agent services in Louisiana, consisting of:

• Maintaining a physical Louisiana street address as your registered office on file with the Secretary of State
• Accepting service of process, legal notices, and state correspondence at that address
• Scanning and electronically forwarding received documents via a secure portal
• Sending compliance reminders for annual reports and filing deadlines
• Providing online access to document history

We do not provide legal advice, tax preparation, entity formation services, or legal representation.

2. Eligibility

To use our Services, you must be at least 18 years of age and authorized to act on behalf of the business entity being registered. Information provided during enrollment must be accurate and complete.

3. Pricing and Payment

• The annual service fee is $99 per year
• Service terms commence on the enrollment date and renew annually unless cancelled
• Payment is collected at enrollment and upon each renewal
• We accept payment methods displayed during the enrollment process
• Pricing changes require 30 days advance written notice before your renewal date

4. Client Obligations

You agree to:

• Supply accurate and current entity and contact information
• Notify us promptly of changes to your entity name, address, officers, or contact details
• Retrieve and respond to forwarded documents in a timely manner
• Maintain your entity in good standing with the Louisiana Secretary of State
• Use our registered address exclusively for registered agent purposes

5. Document Processing

• Documents are accepted at our physical address during business hours (Mon-Fri, 9am-5pm CT)
• Received documents are scanned and uploaded to your portal, typically the same business day
• We do not interpret, act upon, or assume responsibility for the legal content of any documents received
• Physical documents are stored for a reasonable period, then securely destroyed

6. Disclaimer of Legal Services

Louisiana Registered Agent.co is not a law firm and does not render legal advice. Our services are limited to the administrative functions described herein. For legal guidance, engage a licensed Louisiana attorney.

7. Limitation of Liability

To the maximum extent permitted by Louisiana law:

• Our aggregate liability shall not exceed the service fees paid by you in the 12 months preceding any claim
• We shall not be liable for indirect, incidental, consequential, special, or punitive damages
• We shall not be liable for document delivery delays caused by circumstances beyond our reasonable control, including postal service failures, natural disasters, or government actions

8. Indemnification

You agree to indemnify, defend, and hold harmless Louisiana Registered Agent.co, its owners, employees, and agents from claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services, your breach of these Terms, or your failure to maintain compliance with Louisiana law.

9. Cancellation

• Cancel at any time by emailing support@louisianaregisteredagent.co
• Cancellation is effective at the end of your current paid service term
• Partial-term refunds are not provided, except at our sole discretion
• Upon cancellation, you are responsible for appointing a replacement agent with the Louisiana Secretary of State

10. Service Suspension

We may suspend or terminate Services if:

• Payment is overdue and remains unresolved after notice
• Materially false information was provided during enrollment
• Our address is used for purposes beyond registered agent service
• Continued service would violate applicable law

11. Governing Law

These Terms are governed by the laws of the State of Louisiana. Any disputes shall be resolved in courts of competent jurisdiction within Louisiana.

12. Modifications

We may revise these Terms at any time. Updated Terms take effect when posted with a new effective date. Continued use of the Site or Services after posting constitutes acceptance.

13. Severability

If any provision is found unenforceable, the remainder of these Terms continues in full effect.

14. Entire Agreement

These Terms and our Privacy Policy constitute the complete agreement between you and Louisiana Registered Agent.co regarding the Services.
