Due Date for the Louisiana Annual Report

The report is due on or before the anniversary date of organization. An LLC organized on March 3 owes its report by March 3 of each following year.

Two structural details matter:

  • The initial report is submitted together with the Articles of Organization at formation, so the first standalone annual report arrives one year later.
  • The geauxBIZ system accepts the filing only within a window that opens 30 days before the anniversary date. Earlier submission is not possible.

Filing through the state's geauxBIZ portal runs $35; a paper report submitted by mail is $30. The published fee schedule (SS332) lists a $25 base rate, with the statutory convenience charge on card payments accounting for the online difference.

Notarization is not required for a routine report. It becomes relevant in exactly one situation: a registered agent change made on a paper filing, where the incoming agent's Affidavit and Acknowledgement of Acceptance must be sworn before a notary. Agent changes made online are confirmed through email acceptance.

  2. Watch for the filing window to open, 30 days ahead of your anniversary date.
  3. Review the record the state holds: entity name, charter number, Louisiana registered office address, registered agent name and address, principal business office address, and the names and addresses of members or managers.
  4. Correct anything outdated, keeping in mind that each address must be a physical municipal street address; a PO box alone is rejected.
  5. Submit with payment before the anniversary date passes.

The domestic report does not request a FEIN, a NAICS code, or a narrative description of business purpose.

Penalties: Loss of Good Standing, Then Revocation

Louisiana does not assess a stated late fee. The enforcement mechanism is status-based:

Immediately after a missed anniversary, the entity is marked not in good standing. That status is visible to anyone who checks the state record, including banks, counterparties, and opposing counsel.

After approximately three consecutive years of non-filing, the Secretary of State revokes the entity's articles, the administrative termination authorized by La. R.S. 12:1339.

Reinstatement requires formal reinstatement proceedings, a state charge in the neighborhood of $75 for a domestic LLC, and bringing every delinquent report current.
